By placing an order with Icon Media Marketing, you confirm that you are in agreement with and bound by the terms and conditions as set out in the contract and below.

Definitions
The Client : The company or individual requesting the services of Icon Media Marketing.
IMM : Icon Media Marketing primary designer/site owner & employees or affiliates.

General
IMM will carry out work only where an agreement is provided and confirmed either by email, telephone, mail or fax. IMM will carry out work only for clients who are 18 years of age or above. An 'order' is deemed to be a written or verbal contract between IMM and the client, including telephone and email agreements. Because of the dynamic nature of Internet marketing and search engine optimisation, all the information given on this website is subject to change at any time, and it is the visitor's responsibility to check the relevant sections for any updates. These terms and conditions are subject to change at any time.

Confidentiality
The IMM treats all information from clients and potential clients in strictest confidence. Consent will be sought before publishing results of any marketing campaign on this website or elsewhere.

Client Responsibilities
For the purposes of receiving professional SEO services, Client agrees to provide the following :
Unlimited access to existing website traffic statistics for analysis and tracking purposes.
Authorisation to use client pictures, logos, trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by IMM for search engine optimisation purposes.
Note that delivery times are subject to client providing all required files, account logins and any access needed (eg., FTP, etc) at the onset of acceptance. Any delays in the provision of such information will delay the delivery time.

Social Media Marketing and Search Engine Optimisation
Whilst every endeavour will be made to ensure that the website and any scripts or programs are free of errors, IMM cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.
Any scripts, cgi applications, php scripts, or software (unless specifically agreed) written by IMM remain the copyright of IMM and may only be commercially reproduced or resold with the permission of IMM .
IMM cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
Any additions to the brief will be carried out at the discretion of IMM and where no charge is made by IMM for such additions, IMM accept no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.
The client agrees that the results of IMM’s operations will not be instant, and depend - to a certain extent - upon the age, nature, quality, and quantity of the competition, as well as consumers.
IMM reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial.
IMM will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
IMM will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner.
IMM will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the clients appointed agents.
IMM will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.
If the client decides they no longer want the work, as they have commissioned and paid a deposit for, they are still obliged to pay for the work that has been done. Non payment will result in legal action being taken if necessary.

Disclaimers and limitations on liability :
1. IMM shall not be responsible for URLs dropped or excluded by a search engine for any reason.
2. IMM shall not be responsible for delays or failure of performance resulting from Internet Service Provider delivery problems or failure, or any communication or delivery problems associated with Client's receipt of the Account Service data. IMM shall not be responsible for acts or causes beyond their control, including but not limited to: acts of God, strikes, lockouts, communications line or equipment failures, power failures, earthquakes, or other disasters.
3. IMM do not represent or warrant that Customers' URLs will achieve a favourable position, or any position, within a particular search engine.
4. IMM do not warrant or represent that the use or the results of the use of the materials available through the IMM Services or from third parties will be correct, accurate, timely, reliable or otherwise.
5. You expressly agree that use of the IMM Services provided hereunder is at your sole risk. These Services are provided on an "as is" and "as available" basis. IMM expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.
6. Notwithstanding the security precautions taken against disclosure of information, there are certain conditions that exist on the Internet generally which are outside Icon Media Marketing’s control and could result in a breach of security. Accordingly, IMM cannot guarantee that Your Account Service data information will be free from corruption or piracy. You hereby expressly waive any claim against IMM arising out of the loss of data through corruption, piracy, breach of security or for any other reason that is not based on intentional or grossly negligent actions of IMM.
7. To the maximum extent allowed by law, IMM and any of their parents, members, subsidiaries, affiliates, service providers, licensors, officers, directors or employees shall not be liable for any direct, indirect, special, incidental or consequential damages (no matter how they arose, including negligence), or for interrupted communications, lost data or lost profits, arising out of or in connection with the Services provided hereunder. Further, IMM will not have any liability for any losses arising because the IMM Services are not operational or accessible. This section does not limit liability for bodily injury of a person.
8. IMM cannot be responsible for slipping or unsatisfactory Search Engine Ranking results if SEO suggestions have not been adhered to. IMM cannot be held responsible for problems or additional costs arising due to any errors made by third parties, or failure to maintain a current copy of your own website. (Back ups can be made at your request.)
9. All fees are non-refundable. All fees, services, documents, recommendations, and reports are confidential. Equally IMM will respect the confidentiality of any information related to the client’s website.
10. IMM has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory. Google has been known to hinder the rankings of new websites (or webpages) until they have proven their viability. This is referred to as the “Google Sandbox.” IMM assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.
11. Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), this is the client's responsibility and he or she is responsible for all paid for inclusion or expedited service fees. Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. IMM will never obtain links from such websites, and does not assume liability for the client’s choice to link to or obtain a link from any particular website without prior consultation.
12. IMM is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.
13. Additional Services not listed herein (such as managing pay-per click campaigns, copywriting, etc.) can be provided for an extra fee. Please ask if this service is required. Pay-per-click payments are a separate payment from you direct to the pay-per-click company (Google AdWords, Yahoo! Facebook PPC).
14. IMM is not responsible for the Client overwriting SEO work to the Client’s site. (e.g., Client/webmaster uploading over work already provided/optimized).

Payment of Accounts
A deposit of one month in advance is required from any new client before any work is carried out. It is the IMM policy that any outstanding accounts for work carried out by IMM or its affiliates are required to be paid in full, no later than 10 days from the date of the invoice unless by prior arrangement with IMM. Payments can be made monthly or quarterly in advance, a discount of 4% will be applied to all quarterly payments made in advance.
Once a deposit is paid and work completed you are obliged to pay the balance of payment in full. We will contact clients via email and telephone to remind them of such payments if they are not received when due but it is the responsibility of the client to ensure the payment is received on time.
If accounts are not settled or IMM have not been contacted regarding the delay, all access to the related sites may be denied and web pages remove, we will then pass such cases to the Small Claims Court to pursue payment, non payment can result in county court judgments (ccj's) being added to the clients credit rating.
Following consistent non payment of an invoice our Solicitors will contact the client in question, with a view to taking the matter further and if need be to seek payment through legal procedures, and if necessary court summons.

Termination Clause
It is the policy of IMM to accept a termination notice period of 30 days to conclude all campaigns prior to campaign end date, running for a period of 6 & 12 months only, with an additional fee of 30% of the total order value.
IMM will not accept early termination against any contract running for a period of 3 months or less.

Complaints Procedure
Anyone who experiences a problem with the service provided by IMM should raise the matter directly by emailing complaints@IconMediaMarketing.com, giving sufficient information to locate the material (such as an url) and clearly outlining the grounds for complaint.
IMM will review the complaint in question with a view to resolving the matter to the satisfaction of the complainant.
